Terms of Use

Please read these Terms of Use ("Terms") carefully before using Kareeo ("Kareeo", "we", "us", or "our"). By accessing or using our website at https://kareeo.com or our application (collectively, the "Service"), you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that (a) you are at least 16 years of age; (b) you have read and understand these Terms; and (c) you agree to be bound by them. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms.

2. Account Registration

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the security of your password and account credentials;
• Promptly notify us of any unauthorised use at support@kareeo.com;
• Accept responsibility for all activity that occurs under your account.

You may not share your account credentials with others or allow others to access the Service through your account.

3. Subscription Plans and Billing

Kareeo offers both a free tier and paid subscription plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment information, you authorise us to charge the applicable fees via our payment processor (Stripe).

• Free tier: Free features are provided "as-is" and may be modified or discontinued at any time.
• Paid plans: You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not issue refunds for partial periods except where required by applicable law.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable law, regulation, or third-party rights;
• Upload or transmit viruses, malware, or other harmful code;
• Attempt to gain unauthorised access to any part of the Service or its infrastructure;
• Scrape, crawl, or otherwise extract data from the Service using automated tools without our express written consent;
• Use the Service to generate content intended to deceive, defraud, or mislead others (e.g., fabricated credentials on a resume);
• Resell, sublicense, or otherwise commercialise the Service or its output without our prior written authorisation;
• Interfere with or disrupt the integrity or performance of the Service.

5. AI-Generated Content Disclaimer

The Service uses artificial intelligence, including large language models, to generate career advice, resume feedback, interview questions, and other content ("AI Output"). Please be aware of the following:

• AI Output is advisory only. It does not constitute professional career, legal, financial, or HR advice. Always apply your own professional judgement.
• Accuracy is not guaranteed. AI models can produce errors, outdated information, or outputs that do not apply to your specific situation.
• You are responsible for your applications. You should review all AI-suggested resume changes and interview answers before using them. Do not submit content you have not read and verified.
• No hallucination guarantee. AI Output may occasionally contain plausible-sounding but factually incorrect information. Verify important facts independently.

6. Your Content

You retain ownership of all content you upload to the Service, including resumes, work history, and other personal data ("Your Content"). By uploading Your Content, you grant Kareeo a limited, non-exclusive, royalty-free licence to use, process, and display Your Content solely to provide the Service to you.

We do not use Your Content to train AI models or share it with third parties for commercial purposes. See our Privacy Policy for full details.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding Your Content), including all software, designs, text, graphics, and trademarks, are owned by Kareeo or its licensors. These Terms do not grant you any right to use the Kareeo name, logo, or brand features without our prior written consent.

8. Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party services (e.g., LinkedIn). We have no control over and assume no responsibility for the content, privacy policies, or practices of those services. Your use of third-party services is governed by their own terms and policies.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAREEO, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US$100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kareeo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your (a) violation of these Terms; (b) Your Content; or (c) use of the Service in violation of applicable law.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if we reasonably believe you have violated these Terms or applicable law. You may terminate your account at any time by contacting support@kareeo.com or via your account settings. Upon termination, all licences granted to you cease immediately.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. You and Kareeo agree to resolve any disputes arising under these Terms through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

Notwithstanding the above, if you are a resident of the European Economic Area, you may bring claims before the courts of your country of residence, and mandatory consumer protection laws of your country will always apply.

14. Changes to These Terms

We may update these Terms periodically. If we make material changes, we will notify you by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kareeo regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
